Clevbrain Technologies Pvt Ltd provides IT services including but not limited to web development, mobile app development, AI solutions, blockchain development, and related technology services. The specific scope of services will be defined in individual project agreements.
2. Project Agreements
All project engagements will be governed by a separate written agreement that specifies the scope of work, deliverables, timeline, and payment terms. In case of any conflict between these Terms and a project agreement, the project agreement shall prevail.
3. Payment Terms

- Invoices are typically due within 15-30 days of issue
- Late payments may incur interest charges
- We reserve the right to suspend work on projects with overdue payments
4. Intellectual Property
Client Materials
You retain all rights to materials, content, and data you provide to us for the project. You grant us a limited license to use these materials solely for the purpose of providing our services.
Deliverables
Upon full payment, you will own all rights to custom-developed deliverables as specified in the project agreement. Pre-existing components, third-party tools, and open-source software remain subject to their respective licenses.
Our Portfolio
We reserve the right to display completed work in our portfolio and marketing materials unless explicitly agreed otherwise in writing.
5. Confidentiality
We will maintain the confidentiality of any proprietary or sensitive information you share with us. We will not disclose such information to third parties without your consent, except as required by law or as necessary to provide our services.
6. Warranties and Disclaimers
We warrant that our services will be performed in a professional manner consistent with industry standards. However, we do not guarantee that deliverables will be error-free or meet all your expectations.
To the maximum extent permitted by law, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of Liability
To the maximum extent permitted by law, our total liability for any claims arising from our services shall not exceed the amount paid by you for the specific services giving rise to the claim. We shall not be liable for any indirect, incidental, special, or consequential damages.
8. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from: (a) your breach of these Terms; (b) your violation of any third-party rights; (c) your use of our deliverables.
9. Termination
Either party may terminate a project agreement as specified therein. Upon termination, you will pay for all work completed up to the termination date. We will deliver any completed work upon receipt of payment.

- Attempt to gain unauthorized access to our systems
- Transmit any malicious code or harmful content
- Copy, modify, or distribute our website content without permission

11. Governing Law
